TERMS AND CONDITIONS OF SERVICE

Introduction

These Terms and Conditions govern all import, export, freight forwarding, and warehousing
services provided by Optimus Xpress Enterprise PTY LTD (Reg. 2020/665569/07), trading
as Xpress Shop China. By using our services, the customer agrees to these terms, which are
subject to change at the company’s discretion

2. Scope of Services

2.1. We provide international shipping via air and sea freight, customs clearance,
warehousing, and local delivery in South Africa.
2.2. All shipments are handled under a Delivered Duty Paid (DDP) model unless otherwise
stated.
2.3. We operate as a logistics agent and do not assume ownership of the goods transported3

3.Documentation and Compliance

3.1. Customers must provide accurate commercial invoices, packing lists, and any additional
documentation required for customs and clearance.
3.2. Customers are solely responsible for ensuring that all imported or exported items
comply with customs regulations, safety laws, and intellectual property laws in both the
origin and destination countries.

3.3. Branded Goods (Commercial Consignments):

All commercial consignments containing internationally branded goods must be supported
by a valid Letter of Authorization or Distributorship Agreement from the brand owner or its
official representative.

  • No compensation will be offered for such seizures.
  • Failure to do so may result in seizure by customs.

4. Payment Terms

4.1. All shipments handled by us are prepaid using company funds to ensure fast delivery.
4.2. Upon receipt of a Notice of Arrival, the customer must make full payment within:

  • 72 hours for shipments under R5,000, or
  • 7 days for shipments above R5,000 depending on the agreement engaged before shipping.

4.3. Late Payment Penalty:

Failure to pay or arrange payment in time will attract a 5% penalty on the total invoice.

4.4. Storage Charges:

If payment is not made after:

  • 7 days (for small shipments), or
  • 14 days (for large shipments),
    then storage fees will be charged from R50 to R250 per day, depending on volume.

4.5. Notice of Arrival and Communication:

Once a Notice of Arrival is sent (via SMS, WhatsApp, or email based on the customer’s
provided contact), the customer is responsible for:

  • Ensuring their communication channels are accessible,
  • Notifying us of any changes in contact details.
  • Failure to read or receive the message does not waive liability.

4.6. No Collection Without Payment:

Customers cannot collect or receive any part of their cargo without full payment, even if
other goods are still in transit.

  • Partial or unrelated payments do not qualify for release of goods.

5. Liability

5.1. Loss or Theft Compensation

If goods are lost or stolen under our custody and no insurance was purchased,
compensation will be limited to two (2) times the shipping fee paid for the affected
shipment

5.2. Counterfeit or Confiscated Goods

No compensation will be offered for goods confiscated or destroyed by customs due to:

  • Trademark infringement,
  • False declaration,
  • Counterfeit or brand imitation goods imported under the pretense of being original.

5.3. Packaging and Fragile Goods

  • We do not offer compensation for damaged goods caused by insufficient packaging.
  • Customers are strongly advised to pack their goods securely before shipping them to our
    China warehouse.
  • If goods are fragile, the customer must inform us in advance, so proper handling
    instructions can be applied

5.4. Insurance Coverage

Our company only carries basic insurance coverage for natural disasters (e.g., fire, storm, or
flooding) while goods are on the vessel or airplane in transit between China and South
Africa

  • This insurance does not cover theft, handling damage, or warehouse incidents.
  • Customers are advised to purchase full cargo insurance for high-value, sensitive, or bulk
    commercial shipments. This must be arranged and paid for before dispatch from the China
    warehouse

6.Warehouse Policy for Unpaid and Unclaimed Cargo

6.1. Free Storage Period:

  • China warehouse: 30 days free storage.
  • South Africa warehouse: 7 days free storage

6.2. Storage Fees:

After the free period, R150 per cbm/day will apply.

6.3. Notification and Billing:

Customers will be reminded before charges begin. Daily storage fees will continue until
goods are collected and paid for.

6.4. Unclaimed Cargo:

Cargo uncollected for more than 60 days will be considered abandoned.

6.5. Auction/Disposal Policy:

We reserve the right to auction or dispose of unclaimed goods 10 days after issuing final
notice.

  • Any remaining balance may be refunded if the customer is contactable.

6.6. Legal Action:

For extreme cases of non-payment, legal recovery procedures may be initiated, and all legal
costs will be charged to the customer.

7. Customer Responsibilities

  • . Customers must provide accurate shipment descriptions and update their contact
  • The customer must respond promptly to notices and settle any balances beforecollecting goods
  • Any misdeclaration or attempt to bypass customs will result in liability falling fully on the customer, and may result in penalties or seizure

8. Dispute Resolution

  • . Any disputes arising will be resolved first through good faith negotiations.
  • Failing that, the matter will be resolved under South African jurisdiction.

9.Amendments

Optimus Xpress Enterprise reserves the right to modify these terms without prior notice.
Material changes will be communicated to clients by email or public notice.

11.Shipment Handling & China Warehouse Policy

11.1. Direct Forwarding Only

Once goods are delivered to our China warehouse, they will be shipped to South Africa on
the next available dispatch date

11.2. No Transshipment or Return to Supplier

  • Goods cannot be transferred to another logistics provider or transshipped to a different
    warehouse.
  • Returns to supplier are not allowed once goods have been received into our China
    warehouse.
  • Customers must ensure that all orders are correct, complete, and verified before sending
    them to our warehouse

11.3. Destination

All shipments received at our China warehouse will be exclusively delivered to our
warehouse in South Africa.

12. Group Shipments and Tracking Policy

12.1. Limited Tracking for Group Shipments

For security reasons, Optimus Xpress Enterprise PTY LTD does not provide individual
tracking numbers for packages shipped under group (consolidated) consignments during
international transportation

12.2. Status Updates

We will provide regular updates on the status of group shipments at key milestones (e.g.,
dispatch, arrival, clearance, release) via our official communication channels.

12.3. Seizure and Documentation Limitations

In the event that a group consignment is seized or delayed by customs or regulatory bodies:

  • There may be no specific documentation issued for individual packages,
  • Group declarations do not list packages by individual customer name,
  • As such, there may be no personalized proof of seizure or release for a single item within
    the group

13.Dispute Resolution and Customer Conduct

13.1. Open Resolution Policy

If a dispute arises, or if goods are lost or stolen, Optimus Xpress Enterprise PTY LTD is
committed to handling the matter fairly, openly, and respectfully.

13.2. Prohibited Conduct

The following are considered serious violations of our terms:

  • False publications or public misrepresentations,
  • Bullying, harassment, or intimidation of our staff,
  • Defamation campaigns or damaging false reviews.

13.3. Right of Admission Reserved

We reserve the right to refuse service or terminate future dealings with any customer who
violates these conduct expectations

14. Acceptance of Terms

By shipping your package with Optimus Xpress Enterprise PTY LTD, you acknowledge and
agree to be bound by these Terms and Conditions

    We aim to provide you with the best services by striving always to exceed your expectations of the value for money and by anticipating your needs, ensure timely service delivery, and performing our responsibilities with thoroughness and integrity.
